SOFTWARE<\/h2>\n<p><em>Version 2.3 \u2013 May 2025.<\/em><\/p>\n<p>This End User License Agreement (\u201cEULA\u201d) constitutes a legally binding\ncontract between the <strong>User<\/strong> (hereinafter &#8220;you&#8221;) and <strong>Arbel\u00e1ez Carvajal\nTec S.A.S.<\/strong>, a company legally incorporated in Colombia, identified with\nNIT 901576942 and DUNS 987069851, exclusive owner of the registered\ntrademark <strong>CASTIERO\u00ae<\/strong>.<\/p>\n<p>This agreement governs the access, installation, and use of the Castiero\nsoftware (hereinafter, the \u201cSoftware\u201d) by the User. By using the Software,\nyou agree to all the terms set forth below.<\/p>\n<hr \/>\n<h2>1. DEFINITIONS<\/h2>\n<p>For the purposes of this End User License Agreement (EULA), the following\nterms shall have the meanings as set forth herein. These definitions are\nan integral part of the contract and condition its interpretation and\napplication:<\/p>\n<ol>\n<li>\n<p><strong>Castiero:<\/strong> Refers to the software developed and licensed by Arbel\u00e1ez\nCarvajal Tec S.A.S., including its interface, features, educational\nresources, experience system, content modules, gamified logic, and all\ndigital components related to its purpose of financial education.<\/p>\n<\/li>\n<li>\n<p><strong>User:<\/strong> A natural person who accesses, uses, or interacts with the\nCastiero platform, either as a visitor, participant, subscriber, or\nholder of an active account, according to the access levels defined by\nthe platform.<\/p>\n<\/li>\n<li>\n<p><strong>Company:<\/strong> Refers to Arbel\u00e1ez Carvajal Tec S.A.S., identified with\nNIT 901.576.942-3, holder of Castiero&#8217;s proprietary rights and\nresponsible for the processing of personal data in accordance with\napplicable legislation.<\/p>\n<\/li>\n<li>\n<p><strong>License:<\/strong> A limited, revocable, non-exclusive, and non-transferable\nright granted to the User to access and use Castiero under the terms and\nconditions set forth herein, without implying any transfer of ownership\nor authorization for commercial exploitation.<\/p>\n<\/li>\n<li>\n<p><strong>Content:<\/strong> Digital material accessible within Castiero, including\ntexts, images, sounds, videos, interactive activities, challenges,\nsimulators, graphics, tips, and educational resources, which are owned\nby the Company or by authorized third parties.<\/p>\n<\/li>\n<li>\n<p><strong>Personal data:<\/strong> All information linked or that can be associated\nwith a determined or determinable natural person, collected through the\nuse of Castiero and processed in accordance with Law 1581 of 2012,\nRegulatory Decree 1377 of 2013, and other relevant laws.<\/p>\n<\/li>\n<li>\n<p><strong>Support:<\/strong> Channels provided by the Company for technical support,\ninstitutional contact, or submission of petitions, complaints, or\nsuggestions, available through the means indicated on the official\nwebsite.<\/p>\n<\/li>\n<li>\n<p><strong>Authorized third parties:<\/strong> Partners, providers, or external entities\nwith whom the Company maintains contractual or institutional relations\nthat allow, under control and confidentiality, the processing of data,\nprovision of services, or integration of functionalities.<\/p>\n<\/li>\n<\/ol>\n<hr \/>\n<h2>2. GRANT OF LICENSE<\/h2>\n<p>Through this agreement, Arbel\u00e1ez Carvajal Tec S.A.S. grants the User a\nnon-exclusive, limited, non-transferable, revocable, and personal license\nto install, access, and use the Castiero\u00ae Software in accordance with the\nterms set forth in this document.<\/p>\n<p><strong>This license allows the User to:<\/strong><\/p>\n<ul>\n<li>Use the Software on personal or directly-owned business devices.<\/li>\n<li>Access the available features of the Castiero platform according to the\nauthorized access level (e.g., free account, educational tier, or\nprofessional version).<\/li>\n<li>Receive software updates deployed automatically or notified by Castiero.<\/li>\n<\/ul>\n<p>The license <strong>does not grant<\/strong> any ownership rights over the Software or\nits components. All rights <strong>NOT<\/strong> expressly granted to the <strong>User<\/strong> under\nthis EULA are reserved by <strong>Arbel\u00e1ez Carvajal Tec S.A.S.<\/strong><\/p>\n<p><strong>This license:<\/strong><\/p>\n<ul>\n<li><strong>Does not<\/strong> authorize the User to sublicense, lease, sell, redistribute,\nor transfer the Software to third parties.<\/li>\n<li><strong>Does not<\/strong> include rights to the source code, database schemas, or\nunderlying algorithms.<\/li>\n<li><strong>Does not<\/strong> allow use of the Software to provide services to third\nparties under a Software as a Service (SaaS) model, multi-user platforms,\nor intermediary systems, unless formally agreed in writing.<\/li>\n<\/ul>\n<p>Use of this license is strictly conditional on compliance with the terms\nset forth in this EULA, as well as any complementary policies related to\naccount management, privacy, and responsible usage.<\/p>\n<p>Castiero may revoke this license immediately and without prior notice if\nthe User commits contractual breaches, engages in misuse, fraud, or\nviolates intellectual property rights or those of third parties.<\/p>\n<p>The license remains valid as long as:<\/p>\n<ul>\n<li>The User maintains an active account and has not requested termination.<\/li>\n<li>Arbel\u00e1ez Carvajal Tec S.A.S. continues to operate the platform\ncommercially.<\/li>\n<\/ul>\n<p>Any use of the Software outside these parameters shall be considered\n<strong>unauthorized<\/strong> and may give rise to legal actions under applicable law.<\/p>\n<hr \/>\n<h2>3. SCOPE AND RESTRICTIONS<\/h2>\n<p>This EULA grants the User the right to use the Software solely under the\nterms expressly stated herein. Any unauthorized use shall be considered an\ninfringement of the intellectual property rights of Arbel\u00e1ez Carvajal Tec\nS.A.S. and will result in immediate termination of the license, without\nprejudice to legal actions.<\/p>\n<p>The User expressly agrees to refrain from:<\/p>\n<ul>\n<li>Performing reverse engineering, decompiling, disassembling, or attempting\nto discover the source code of the Software.<\/li>\n<li>Modifying, translating, adapting, or creating derivative works based on\nthe Software.<\/li>\n<li>Distributing, leasing, sublicensing, reselling, transferring, or\nallowing third-party use of the Software, unless expressly authorized in\nwriting.<\/li>\n<li>Using bots, scrapers, automation tools, or any non-human mechanism to\ninteract with the Software, except via authorized APIs.<\/li>\n<li>Using the Software for illegal, abusive, defamatory, fraudulent, or\noffensive purposes, or in ways that infringe upon the rights of others.<\/li>\n<li>Exceeding reasonable usage limits, generating abnormal infrastructure\nloads, or interfering with Castiero&#8217;s operations.<\/li>\n<\/ul>\n<p>Castiero reserves the right to suspend or restrict the User&#8217;s access if\ninappropriate or risky usage is detected.<\/p>\n<hr \/>\n<h2>4. INTELLECTUAL PROPERTY<\/h2>\n<p>The Software, including all its modules, features, interfaces, database\nstructures, educational guides, illustrations, sounds, and documentation,\nis the exclusive property of <strong>Arbel\u00e1ez Carvajal Tec S.A.S.<\/strong>, protected\nunder copyright laws (Law 23 of 1982, Law 44 of 1993) and international\ntreaties such as:<\/p>\n<ul>\n<li>Berne Convention for the Protection of Literary and Artistic Works.<\/li>\n<li>TRIPS Agreement of the WTO.<\/li>\n<li>Digital Millennium Copyright Act (DMCA, USA).<\/li>\n<\/ul>\n<p>The trademark <strong>CASTIERO\u00ae<\/strong> is registered with the Superintendence of\nIndustry and Commerce (SIC) of Colombia, and its use is prohibited without\nformal authorization.<\/p>\n<p>The User acknowledges and agrees that:<\/p>\n<ul>\n<li>No intellectual property rights are acquired by using the Software.<\/li>\n<li>Copying or reproducing any part of the Software, in whole or in part, by\nany means or format is strictly prohibited.<\/li>\n<li>The User may not remove, hide, or alter copyright notices, trademarks,\ntrade names, or proprietary labels displayed in the Software.<\/li>\n<\/ul>\n<p>Any unauthorized use of Castiero&#8217;s intellectual rights constitutes a\nserious violation punishable under criminal, civil, and administrative law.<\/p>\n<p>This agreement does not imply a transfer of economic rights, know-how,\ntrade secrets, or any license over components not expressly granted herein.<\/p>\n<hr \/>\n<h2>5. PERSONAL DATA PROTECTION<\/h2>\n<p>Arbel\u00e1ez Carvajal Tec S.A.S., as the data controller, is committed to\nensuring the privacy, integrity, and availability of the User\u2019s personal\ndata, in accordance with international standards and applicable local laws.<\/p>\n<p>Data processing is governed by principles of legality, purpose,\ntransparency, veracity, restricted access and circulation, security, and\nconfidentiality.<\/p>\n<p>Castiero adheres to the following regulations:<\/p>\n<ul>\n<li>\n<p>\ud83c\udde8\ud83c\uddf4 <strong>Law 1581 of 2012 (Colombia):<\/strong> Regulates personal data protection\nthrough prior authorization, specific purpose, and data subject rights\nincluding access, rectification, update, and deletion. Such information shall be\nconsidered confidential and handled accordingly, in compliance with the\nhighest international legal and technical standards.<\/p>\n<p>For the purposes of this agreement, \u201cconfidential information\u201d means any\nnon-public data submitted by the User through forms, accounts, usage\npatterns, financial records, or any other means provided by the Software.<\/p>\n<p>Confidentiality is governed by the following principles and standards:<\/p>\n<ul>\n<li>\n<p><strong>Law 1581 of 2012 (Colombia)<\/strong> and Decree 1377 establish the obligation\nto ensure restricted access, integrity, and prevent unauthorized\ndisclosure of personal data.<\/p>\n<\/li>\n<li>\n<p><strong>ISO\/IEC 27001:2022<\/strong>, the international standard for information\nsecurity management, requires implementation of confidentiality controls\nsuch as access policies, data encryption, traceability, and incident\nmanagement.<\/p>\n<\/li>\n<li>\n<p><strong>General Data Protection Regulation (GDPR)<\/strong> of the EU, although not\nbinding, serves as a reference for data minimization, confidentiality by\ndesign, and granular consent.<\/p>\n<\/li>\n<\/ul>\n<p>Under this EULA, Castiero agrees to:<\/p>\n<ul>\n<li>Not disclose, assign, rent, sell, or share User confidential information\nwith unauthorized third parties.<\/li>\n<li>Restrict access to authorized personnel under confidentiality agreements.<\/li>\n<li>Implement protection measures such as encryption in transit and at rest,\npassword hashing, two-factor authentication, and session control.<\/li>\n<li>Monitor and log access to sensitive data for audit and compliance.<\/li>\n<li>Promptly notify of any security incident involving leakage or loss of\nconfidential data, in accordance with applicable law.<\/li>\n<\/ul>\n<p>The User acknowledges that unauthorized access or misuse of their account\nor device may compromise confidentiality. Therefore, they agree to protect\ntheir credentials and report any irregularities.<\/p>\n<p>This confidentiality obligation shall survive the termination of the\ncontractual relationship, as long as the information remains confidential.<\/p>\n<hr \/>\n<h2>7. NO ADVERTISING<\/h2>\n<p>Castiero is designed as an ad-free environment, focused exclusively on the\nUser\u2019s financial education. Arbel\u00e1ez Carvajal Tec S.A.S. guarantees that\nthe User experience will not be subject to commercial stimuli, disguised\nsuggestions, or profit-driven interruptions.<\/p>\n<p>Specifically, the company declares that:<\/p>\n<ul>\n<li>No banners, pop-ups, sponsored content, or any third-party advertising,\nwhether graphic, audiovisual, or textual, will be included in the\nSoftware.<\/li>\n<li>No promotional emails, push notifications, or in-app messages unrelated\nto the educational purpose of the system will be sent.<\/li>\n<li>User data will not be sold, shared, or commercialized with advertisers,\nmarketing agencies, or external companies, nor will consumption profiles\nbe created for advertising or market analysis purposes.<\/li>\n<\/ul>\n<p><strong>Financial partner directory<\/strong>\nCastiero may optionally enable a directory of financial partners that the\nUser can access voluntarily. This resource:<\/p>\n<ul>\n<li>Is designed as an educational and exploratory tool, not for direct\npromotion.<\/li>\n<li>Will include information on verified institutions, with visible\nclassifications and certifications.<\/li>\n<li>Does not imply commercial relationships with Castiero or financial\ncompensation from said partners.<\/li>\n<li>Is 100% optional, and the User may ignore or choose not to use this\nfeature.<\/li>\n<\/ul>\n<h2>8. FINANCIAL EDUCATION<\/h2>\n<p>Castiero is an educational software designed to provide the User with tools\nfor personal financial management, economic skill development, and informed\ndecision-making. Legal guardians must oversee their access,\nunderstanding, and application of financial content.<\/p>\n<hr \/>\n<h2>9. UPDATES AND SUPPORT<\/h2>\n<p>Arbel\u00e1ez Carvajal Tec S.A.S. may, at its sole discretion, provide updates,\nenhancements, bug fixes, security patches, or new functionalities of the\nSoftware (hereinafter, \u201cUpdates\u201d). EXPORT AND INTERNATIONAL USE<\/h2>\n<p>The User acknowledges that the Software is subject to export control laws,\neconomic sanctions, and international regulations governing technology\ntransfer. In particular:<\/p>\n<ul>\n<li>Use, download, installation, or distribution of the Software is\nprohibited in countries or territories subject to international sanctions\nimposed by the United States (OFAC), the European Union, the United\nKingdom, or other relevant jurisdictions.<\/li>\n<li>The Software may not be used in activities related to weapons,\nterrorism, money laundering, cybercrime, or any conduct deemed illegal\nunder international law.<\/li>\n<li>The User agrees not to export, re-export, or transfer the Software to\nindividuals, companies, or entities located in restricted countries, or\nto persons listed on watchlists such as the U.S. Treasury\u2019s Specially\nDesignated Nationals (SDN) List.<\/li>\n<li>The Software must not be installed or executed in infrastructures subject\nto local laws incompatible with this EULA.<\/li>\n<\/ul>\n<p>Arbel\u00e1ez Carvajal Tec S.A.S. does not guarantee compliance with local laws\noutside Latin America or the United States. The User is solely responsible\nfor verifying the legality of use in their jurisdiction.<\/p>\n<hr \/>\n<h2>12. LIMITATION OF LIABILITY<\/h2>\n<p>The User acknowledges and accepts that use of the Software is at their sole\nrisk and responsibility.<\/p>\n<p>Arbel\u00e1ez Carvajal Tec S.A.S. makes no warranties that:<\/p>\n<ul>\n<li>The Software is free from errors, interruptions, defects, vulnerabilities,\nor data loss.<\/li>\n<li>The Software will meet the User\u2019s specific requirements, nor that it is\nsuitable for personal, academic, or commercial purposes.<\/li>\n<li>The Software will be available continuously, without interruptions or\ntechnical failures.<\/li>\n<\/ul>\n<p>To the fullest extent permitted by applicable law, Arbel\u00e1ez Carvajal Tec\nS.A.S. expressly limits its liability and excludes:<\/p>\n<ul>\n<li>Any indirect, incidental, special, punitive, or consequential damages.<\/li>\n<li>Compensation for financial loss, data loss, lost profits, lost\nopportunities, reputational damage, or any other intangible or\nnon-economic harm.<\/li>\n<li>Responsibility for unauthorized access to the User\u2019s account resulting\nfrom causes external to the platform.<\/li>\n<\/ul>\n<p>This limitation of liability shall remain in effect even after termination\nof this EULA.<\/p>\n<p>If any provision of this clause is declared invalid or unenforceable by a\ncompetent authority, such declaration shall not affect the validity of the\nremaining provisions of this clause or of the EULA as a whole.<\/p>\n<hr \/>\n<h2>13. TERMINATION<\/h2>\n<p>This EULA may be terminated by either party at any time, without the need\nfor justification, by notifying the intention to end the contractual\nrelationship.<\/p>\n<p>The User may terminate this agreement at any time by:<\/p>\n<ul>\n<li>Fully uninstalling the Software from their devices.<\/li>\n<li>Deleting their account using the tools available on the platform.<\/li>\n<li>Revoking consent for use, which may limit or suspend the Software\u2019s\nfunctionality.<\/li>\n<\/ul>\n<p>Arbel\u00e1ez Carvajal Tec S.A.S. may revoke this license without prior notice\nin the following cases:<\/p>\n<ul>\n<li>Breach by the User of any clause of this EULA.<\/li>\n<li>Misuse of the Software, such as fraud, system manipulation, identity\ntheft, or harm to third parties.<\/li>\n<li>Use of the Software for illegal purposes or in violation of intellectual\nproperty or privacy rights.<\/li>\n<li>Legal or regulatory requirements demanding such action.<\/li>\n<\/ul>\n<p>Upon termination of this EULA:<\/p>\n<ul>\n<li>All User rights to use the Software shall cease.<\/li>\n<li>Access to advanced or personalized features will be removed.<\/li>\n<li>No financial compensation shall be due, unless required by applicable\nlaw.<\/li>\n<\/ul>\n<p>Termination does not exempt the User from obligations acquired prior to the\neffective termination date.<\/p>\n<hr \/>\n<h2>14. MODIFICATIONS TO THE AGREEMENT<\/h2>\n<p>Arbel\u00e1ez Carvajal Tec S.A.S. reserves the right to modify, update, or\nreplace this EULA, in whole or in part, at any time, for reasons including:<\/p>\n<ul>\n<li>Changes in applicable legislation.<\/li>\n<li>Evolution of the Software&#8217;s functionalities.<\/li>\n<li>Improvements to the legal structure protecting the User.<\/li>\n<li>Business or strategic needs of the Company.<\/li>\n<\/ul>\n<p>In the event of modification:<\/p>\n<ul>\n<li>The User will be notified through internal channels (app alert, email,\nor push notification).<\/li>\n<li>The new EULA will take effect from the moment of publication or the\nspecified date in the notice.<\/li>\n<\/ul>\n<p>Continued use of the Software after notification constitutes tacit\nacceptance of the new terms.<\/p>\n<p>If the User does not agree with the modifications:<\/p>\n<ul>\n<li>They may cancel their account and request the deletion of their personal\ndata.<\/li>\n<li>Under no circumstances will a prior version of the EULA remain in effect\nfor a specific User.<\/li>\n<\/ul>\n<p>It is the User\u2019s responsibility to periodically review this EULA and remain\ninformed of relevant changes or updates.<\/p>\n<hr \/>\n<h2>15. SUCCESSION AND TRANSFER<\/h2>\n<p>This EULA binds not only the User and Arbel\u00e1ez Carvajal Tec S.A.S., but\nalso their legal successors, assignees, merged entities, or acquiring\nparties.<\/p>\n<p>In the event that Castiero or its owning company is subject to:<\/p>\n<ul>\n<li>Asset sale or acquisition by another company,<\/li>\n<li>Merger with another legal entity,<\/li>\n<li>Change of control or corporate restructuring,<\/li>\n<li>Assignment of rights over the Software to a third party,<\/li>\n<\/ul>\n<p>this agreement may be automatically transferred to the new holder, who\nshall assume all contractual obligations established herein, while\nrespecting User rights\u2014particularly regarding personal data processing.<\/p>\n<p>The User will be informed of any significant assignment of rights through\navailable channels and may exercise their right to withdraw consent if they\nso choose, in accordance with applicable law.<\/p>\n<hr \/>\n<h2>16. JURISDICTION AND GOVERNING LAW<\/h2>\n<p>This agreement shall be interpreted and enforced according to the following\nprovisions, depending on the User\u2019s location:<\/p>\n<ul>\n<li>\n<p><strong>Users located in Latin America<\/strong>: This EULA shall be governed by the\nlaws of the User\u2019s country of residence. Direct and amicable conflict\nresolution will be encouraged as a first option. In case of dispute, the\nparties shall submit to conciliation centers, arbitration tribunals, or\nthe ordinary jurisdiction of said country.<\/p>\n<\/li>\n<li>\n<p><strong>Users located in the United States of America<\/strong>: This EULA shall be\ngoverned by the laws of the <strong>State of Delaware<\/strong>. Any dispute shall be\nresolved through <strong>binding arbitration<\/strong> under the rules of the <strong>American\nArbitration Association (AAA)<\/strong>, conducted in English. The User expressly\nwaives the right to a jury trial.<\/p>\n<\/li>\n<li>\n<p><strong>Users in other countries<\/strong>: General principles of private international\nlaw may apply, as long as they do not contradict the User\u2019s fundamental\nrights or mandatory provisions of their national law.<\/p>\n<\/li>\n<\/ul>\n<p>These provisions shall not affect the mandatory consumer rights of the\nUser, based on their country of residence. In case of conflict between\nrules, the most favorable provision to the User shall apply.<\/p>\n<hr \/>\n<h2>17. LANGUAGE AND PREVALENCE<\/h2>\n<p>This EULA has been written in three languages: Spanish, English, and\nBrazilian Portuguese, to ensure accessibility and understanding by Users in\nthe various regions where Castiero operates.<\/p>\n<p>In the event of discrepancy, ambiguity, interpretation conflict, or\ntranslation error between the available versions, the <strong>Spanish version<\/strong>\nshall prevail, as it is the original legal version drafted and registered\nby Arbel\u00e1ez Carvajal Tec S.A.S.<\/p>\n<p>The User may choose their preferred language version for reading and\nconsultation, but agrees that, in any legal or contractual circumstance,\nthe Spanish version shall be considered the definitive text.<\/p>\n<hr \/>\n<h2>18. PARTIAL INVALIDITY<\/h2>\n<p>If any clause, provision, or term of this EULA is declared null, invalid,\nor unenforceable by a competent judicial or administrative authority, such\nnullity shall:<\/p>\n<ul>\n<li>Not affect the validity or enforceability of the remaining clauses.<\/li>\n<li>Not result in the complete nullification of the EULA.<\/li>\n<li>Be interpreted in the manner most aligned with the original intent of the\nparties, preserving its functional and legal meaning.<\/li>\n<\/ul>\n<p>The remaining provisions shall remain fully valid and enforceable.<\/p>\n<p>The parties agree to replace any invalid clause with a valid provision that\nreflects, to the extent possible, the commercial and legal intent of the\nclause being replaced.<\/p>\n<p>This principle of contractual preservation shall be applied as a priority\nto maintain the legal relationship between the User and Arbel\u00e1ez Carvajal\nTec S.A.S.<\/p>\n<hr \/>\n<h2>19. ENTIRE AGREEMENT<\/h2>\n<p>This document constitutes the total, complete, and exclusive agreement\nbetween Arbel\u00e1ez Carvajal Tec S.A.S. and the User regarding the use of the\nCastiero\u00ae Software. It supersedes any prior agreement, communication,\nproposal, or understanding\u2014whether verbal or written\u2014on the same subject.<\/p>\n<p>No additional conditions proposed by the User shall be binding upon\nArbel\u00e1ez Carvajal Tec S.A.S., unless expressly agreed upon in a written\ncontract signed by both parties.<\/p>\n<p>If Castiero offers features subject to particular conditions (e.g.,\nmembership levels, subscriptions, rewards programs, or enterprise\nlicenses), such conditions shall complement this EULA. In case of conflict,\nthe more specific provision related to the feature in question shall\nprevail.<\/p>\n<hr \/>\n<h2>20.
